成立公司

常常有客戶問我他們需不需要（現在）成立公司。我的答案基本上是“ It depends ”。早成立公司的好處包括：（ 1 ）通過公司的責任有限製保護創業團隊的個人資產，（ 2 ）在智慧產權尚未成形之前以低價轉讓給公司，也為新研發出的智慧產權定下歸屬，（ 3 ）給創業團隊發行股票，從而凝聚向心力，而公司也可以發行低價options 招攬新人才，等等。而壞處主要是成立公司所需的花費（政府收的費用與稅金，agent 的費用，律師費，等等）。

既然取舍如此簡單，那為什麽答案是“ It depends ”？

第一，如果創業團隊還在為別的公司工作的話，成立公司與智慧產權就牽涉到與現有雇主的勞動合約，而不是一件說做就做的事。

第二，如果公司未來的主要市場不在美國，那是否在美國設立公司就變成一件需要慎重評估的事。

第三，就算公司未來的主要市場在美國，公司本身的業務形態與預期發展也會影響公司在美國的那一州，以那一種形態設立。

第四，是否公司有其他的特殊情形需要斟酌。

第五，是否創業團隊有其他的個人因素需要考慮。

如果團隊已下定決心創業的話，那花一點時間問問律師的意見不失為明智之舉。矽穀startup 律師通常會很樂意花半到一個小時免費谘詢。如果等到公司稍具規模之後，那個時候有些錯誤就無法挽回了。比方說最近一個公司問我，如果他們的主要收入來自海外，而他們的公司設在美國，而過去研發都在美國做（因為公司成立的時候也沒想那麽多），而現在才知道美國公司的收入要打30% 以上的企業稅，有沒有可能通過海外設立子公司來達到減稅的目的？

Well, it depends.
