你的餐館朋友想買你的房子，他沒有頭款，又不能貸款，他想做的，就是把房子拿過去，接著付你的loan。這個做法叫做“subject to”。你可以過戶給他，他一分錢不出，但是承諾接著付你的貸款。當然，你的銀行是不會承認這個貸款的轉讓的。所以，銀行那邊，你還是有還款的obligation。至於說你都過戶了，怎麽還要還貸款？你要搞清楚。你向銀行借的錢，你做過承諾是要還的。你過戶給別人，是你自己願意的事情，銀行不會批準的。那麽你對銀行的承諾還是要兌現的。銀行有權要求一次把貸款付清，因為你已經違反了due on sale clause。如果你，或者買家，付不出來，銀行有權foreclose。通常情況下，如果你的買家按時付你的貸款，銀行可能睜一隻眼閉一隻眼不和你們計較。但是買家如果不付的話，銀行隻能來收房子，還可以go after you，如果銀行有損失的話。在銀行那邊，不管你賣不賣房子，你的obligation是沒有消除的。

打個比方，我問你借了錢，買了一個車子。說好按月還錢給你。後來錢還沒還完，我把車子賣了。如果買車子的人不去還你錢，你是找我要錢還是去找新的車主要錢？當然是找我要。因為新的車主和你一點關係都沒有。你是把錢借給我的，當然隻能找我要。

Subject to strongly favors buyer because he can turn around to sell it to regular buyer at higher price and pocket the price difference. If he cannot sell, he can walk away and lose nothing. Seller lose upside and keep all the risk.

如果還不清楚，google subject to, creative real estate, wrap-around mortgage, etc. 你可以學到很多東西。我不建議地產投資人去做這些creative real estate，因為裏麵幾乎以scam為主，即使不是scam，也會involve很多legal trouble，很可能成為今後頭疼的事情。但是了解一下，還是有好處的，至少知道問題在哪裏，以後不會受騙上當。
