what kind of clinic is it? dental, optometry, testing lab, etc? it's not my specialty so you can't take my words for it. but if I were you, I would ask the experts in this field to get insights on running the clinic on my own, the challenges, risks, etc.. devils are in the details.

you can negotiate the salary - if that's the only thing bothering you, don't see why it's a big problem.

even if the owner just wants to use the false promise of selling you the clinic as a bait for you to work for him for cheap, if you so desire to be your own boss and see great rewards of owning this clinic (do your homework, please), you can work with the lawyer to write a contract to your advantage. set a timetable, set clear terms so that the owner can't get out of the contract without certain financial obligations.
