In brief, dissolving a partnership in an accounting firm, one partner is voted by the other two partners to leave the business. Has not arrived at an agreement so far. There are 4 partners in this firm but 3 shareholders, 3 males and one female. Male #1 holds 50% share and male #2 holds 10% share and female partner holds 40% share. Male #3 is a partner but not shareholder. Male #1 decided to hire an inexperienced staff (son of Male #3) at 100k without asking for female partner’s opinion and was told that he has the right to hire whoever he wants. The female partner asked to be compensated at least the same but was declined by the board (including the non-shareholder male #3 though he is not a member of the board). As the female partner does not agree with them. They voted for her to leave immediately and she was walked out the company with oral agreement that she will take 40% of the customers. However, they regretted later and now give her no options other than just leave. They have not contacted since the event for any written agreement and she is also not paid anymore. She is not only a partner but also the director and employee of the company. They took her keys away and she cannot go to the office to work anymore. We will find a lawyer ASAP thus hoping someone here can recommend a lawyer who is experienced at this. As this occurred suddenly, we also hope we can get some advice with people who had similar experience about dissolving a partnership. What rights does she have? Does she need their consent to start her own business and take her previous customers with her as most of the clients want to be her clients still. Can the other shareholders force her to sell her shares? Her adult children happen to be working in the same field and have their own corporation and if the clients want to enroll into her children's firm, will this affect her and her children as we want to make sure not break the law?
