Stock. Subject to the Company’s conversion from a limited liability corporation to a corporation, you will be granted a stock option grant, set forth herein, to purchase a preset number of shares of the Company’s common stock. These options will vest in accordance with the Company’s standard vesting schedule: 25% after the first year of employment and on a monthly basis at the rate of 1/48th thereafter. These options will have a strike price equal to the fair market value of the Company’s common stock on the date of grant as determined in good faith. There will be no guarantee that the Internal Revenue Service will agree with this value.Upon the granting of any such option, you should consult with you own tax advisor concerning the tax risks with accepting an option to purchase the Company’s common stock.
