I would do the following:

To company 1: I greatly appreciate the offer. I really enjoyed talking to my interviewers. My gut feeling tells me this is the right place for me. However, I had good interviews with company 2 as well, I'd like to at least see their offer and fully evaluate the situition. But I think I am leaning towards you.

Possible outcome: firm 1: this dude is hot! "John, we can pay you 10k more." (trust me, they can always do a little better). Now the option is yours.

To firm 2: I really enjoyed talking to my interviewers. I already have a decent offer at firm 1, but I am leaning towards your firm if I can get an offer. (No be shy to ask).

Possible outcome: firm 2: this dude is hot! Let's give him an offer.

The key is to get OPTION. Then you say to one of them, sorry blah blah. The other one will probably appreciate you choosing them.
