It depends on several factors:
1. How old are you? 20's, 30's,40's? If you are still young for your career, a "downgrade" to a lower position is very bad for you. If you are older and looking more for safety, you may consider this offer.
2. Where are you located? Is it a big city like DC, Chicago, or a small town where jobs are hard to find? If you are in a big city, the chances to find an equivalent or better job should outweigh the safety provided by this offer.
3. When your boss said your job is safe, what does he mean? Since you are in a Fortune 500 company, unless the company moves the entire accounting division to elsewhere the chances to re-assign you to to another accounting job should be high. Since you got a promotion and your boss apparently has good impression of you, you are a valuable resource to the company.
4. Even if you get laid-off, what will be the package? If the package is significant, then you should stay.
5. This offer has no incentive financially and no incentive in expanding your career. It is hence an unattractive offer.
6. If the above analysis is true, you should continue looking for other opportunities both inside and outside of the company while keeping your current job.
