This is a fairly standard non-compete clause. I don't know which industry you are in, but in certain industry sectors, non-compete, non-solicitation, and even gardening leave are in virtually every offer letter. As Lao Tu said, if you are not happy with these terms or language, just cross out or change certain wordings to make it acceptable to you. For example, in my industry, taking out non-compete all together is probably not going to work for the hiring company. However, based on the sentence you copied, if I were you, I would change a few things to minimize the restrictions on you:
1) I would agree not to be "employed" by other companies; I would take out "work direct or indirectly for" other companies. What does that mean any way? Let the company HR explain and make their case.
2) it should only apply to other companies that are "in direct competition" with the hiring company. "indirect competition" is too vague.
3) one year sun set is too long. Start with three months.
