RELEASE

IN CONSIDERATION of the payment of $xxxxx.00, the receipt and sufficiency of which is hereby acknowledged, XXX and YYY (collectively the Releasors”), hereby release(s), acquit(s) and forever discharge(s) ZZZ and ABC Inspection Services Ltd. their respective insurers, owners, directors, officers, contractors, employees, agents and assigns (herein
collectively called the “Releasees”) from any and all proceedings, demands, and claims for damages, losses, costs or expenses of any kind (including any claims for contribution or indemnity) which the Releasors have, or may at any time have, against the Releasees with respect to the inspection of the home at xxxx American Streett by the Releasees and including but not limited to all matters raised in the action bearing Court File No. xx-xx-xxxxx

IT IS FURTHER AGREED AND UNDERSTOOD that for the consideration aforesaid, the Releasors undertake and agree not to take any steps or initiate any proceedings against any person, partnership, insurer, corporation or other such entity which might be entitled to claim contribution, indemnity or other relief over against the Releasees under the provisions of any statute
or otherwise, with respect to any matter which the Releasors release by this Release. In the event that any other person or entity claims contribution
or indemnity from the Releasees respecting the matters above or otherwise, the Releasors agree to indemnify and hold harmless the Releasees, including, without limiting the generality of the foregoing, indemnification of the Releasees in respect of any claim advanced against the Releasees, any pre
and post judgement interest on the claim, any costs payable to the other person or entity, and indemnification of the Releasees for their own costs
on a solicitor and client scale.

AND IT IS FURTHER AGREED AND UNDERSTOOD that the Releasees do not admit any liabilities or obligations whatsoever to the Releasors and such liabilities
and obligations are in fact denied.

THIS RELEASE is binding upon and shall enure to the benefit of the employees, partners, servants, agents, successors, assigns, heirs, contractors, executors,
administrators and/or legal or personal representatives of the Releasors and of the Releasees.

IT IS HEREBY DECLARED that the terms of this Release are fully understood and said Release is given voluntarily for the purpose of making a full and
final compromise, adjustment and settlement of all claims aforesaid as between the Releasors and the Releasees. The Releasors and Releasees further
confirm and declare that they have had an opportunity to obtain independent legal advice.
