Sorry I misunderstood your first post that I thought you would sell to the guy except that you were waiting for the paperwork to be done.

Based on your second post, you should not have any obligations. Just reject his offer since you have not promised to sell to him yet. One thing though, you can tell him that there is a second offer, but don't tell him that you don't want to sell anymore. He could hold you liable for misrepresentation if you did that then sell to a second buyer. I am not very familiar with real estate laws but only general contract law. Can you ask a realtor? From contract point of view, you don't have to actually promise anything. If at anytime you used words "will", such as "we will sell to you", that would suffice for a promise. The guy can not recover contract damage for that even if you promise to sell to him the contract will be barred by Statute of Frauds. However, a contract court will allow him to recover reliance damage. I am not sure whether that is the case for real estate.
