I am director of the Board in VA. Recently entered a new management contract with a new company. The president signed the contract which approved by Board; but 1) no concent/motion/vote or authorize him to sign the contract; 2) next to the signatures, no print name and titile; 3) no witness from the owner. Also VP resigned, the contract was signed totally under his own presentation.
He did not noticed us at all, after signed, he email us. Did he do the right thing?
