Please help analyzing my situation

My H1-B visa will expire in May of next year (use up 6 years limit).
I have several questions to ask:

1) My current employer bought some IP and stuff from my previous employer, but the previous company still exists. Can I use the LC approved under previous employer to apply I140? My lawyer says since no merger or acquisition exists, I can not do that.
2) If I need to apply for LC under current employer, it that true I must submit it before this May in order to extend my H1-B?
3) I had a LC approved under my previous job (EB3, priority date September, 2004), if the new LC is approved, can I use that date for filling 485?
4) My current job is not stable, if I find another job, is that true I must submit the LC in that company before May of this year to extend my H1-B?
5) If I can not extend my H1-B, can I change to H4?

Sorry I have so many questions to bother you guys. I am rather confused and worried in current situation.
