How to exchange a company stock to a SP500 ETF such VOO

I have some stock of a company via ESPP, and would like to reduce the risk, and think about exchange these stocks to a SP500 ETF. Do I have to sell them and buy the SP500 ETF, what is the best way to handle this and what is the consequence of TAX?  Thanks in advance.
