as far as I know for USA company, if you want to close it, just file it at the Dep. of State where you registered. Normally, you can file it on line.

Company can also be kept on paper which means no business will be conducted under it. In that case, your firm is dormant. Corp normally file 1120 tax return, if no business has been done, just file all $0 on it. This way you can start doing business whenever you are ready, not need to register a new firm again.

If your firm is register under green card support program (forgot the name), it might then require actually business and employees.
