請教貓版主和各位高人關於Independent contract

請教貓版主和各位高人：
本人是一家公司S的Independent contract 在A公司某部門工作。現在A公司另一部門決定給我full time 工作。但是之前和S 公司簽有Non-compete clause： " I acknowledge that I will not join the Client to which I am assigned by the company without a written approval from the Company during the period of engagement with the Client and or a period six months after completion of the engagement".

我和S 公司聯係希望得到許可，可是他們說: "you are breaking the contract, prepare to hear from attorney" 請問有何辦法可以和他們協商? 如果我沒有得到 "written approval" 而接受offer， 後果會如何？
