Goodwill Preservation and Non-Solicitation Agreement

Thank you for suggestion.

I started a new job in a small firm 2 weeks ago. Now I will have an interview in another big firm. The big firm has same service (but a lot more) as the small firm. But they are not subcontractor. I signed some agreement with my current firm, I wonder if this would prevent me to change job. Please see following.

Confidentiality and Unfair Competition

Goodwill Preservation and Non-Solicitation

Employee agrees, both during the term of Employee's employment with XX (the firm name), whether under this Agreement or otherwise, and for a period of two years after Employee's termination of Employee's employment for whatever reason, Employee will not, directly or indirectly, either on Employee's account or in the service of or for any other(s): (a) solicit business from any Client who has been a Client of xx for the purpose of providing services competitive with those of xx; and (b) send announcements or publications regarding new offices or employment applications to Clients. Employee agrees, both during the term of Employee’s employment with xx, whether under this Agreement or otherwise, and for a period of one year after Employee’s termination of Employee’s employment for whatever reason, Employee will not, directly or indirectly, either on Employee’s account or in the service of or for any other(s) solicit for employment, induce to leave employment or employ any employee of xx who has been an employee of xx during Employee’s employment. The term “Client” shall include but not be limited to the end-user of the service and the architectural firms that xx subcontracts with to perform the subject work.

I did not see it prevent me to work for a compitator. My recuiter told me to bring the agrrement in the interview. I will wait until I get the offer. Big firm has a lot of lawyers, they will not want trouble, neither do I .

Thank you very much.
