Help: old 140 and 485 as dependent

Company is spinned off from big company A to a small company B. Everything remains same. My hu*****and's 140 is approved before in A. He has 485 as dependent with me on July 2007. Mine is EB3, and his is EB2. Now, it is closed to his PD. Company B wants to do 140 amendement for him aboutg 2 month later, and uses the same lawyer as company A. the lawyer said that he doesn't need 140 amendment, but company wants to do it. A doesn't know he has 485 already. My question is: when his PD is current, can we use old approved 140 to get 485 approved? If ues, do we need write anything?  or in case that amendment is sent out, then we have to wait? Please help us to get the best solution. Thanks
