1. Whether this is legal by doing this way?
- it would be just an agreement between you 2 parties
If I understand correctly, you are being paid from Jan to Jun while you actually did not work for Company B. In this case, I would say it's fairly fair that you accept their proposal.

2. By doing this way, whether my H1B is still in status? 謝謝了!!
- I don't see any problem at all.

3. Whether my NIW I-485 (filed in Apr, 2004) will be fine?
- Neither this one.
