Lynas has a contract with the US Department of Defence for the construction of a Heavy Rare Earths processing facility at Seadrift, Texas. The contract is an expenditure-based contract under which all of Lynas’ properly allocable construction costs in respect of the facility will be reimbursed. A contribution by the U.S. Department of Defence of approximately US$258m is currently allocated to the Seadrift facility. Following the identification of a permitting issue related to wastewater management which affects the Seadrift site, an alternative pathway was identified to resolve the wastewater management challenges. Additional CAPEX will be required to implement this pathway. Lynas is yet to commence construction or operations in the USA and had no USA employees in FY25. There is significant uncertainty as to whether the construction of the Heavy Rare Earth processing facility at Seadrift, Texas will proceed and, if so, in what form. Lynas is working with the US Department of Defence to negotiate a mutually acceptable offtake agreement for production from Lynas’ operating assets. While there can be no certainty that offtake agreements will be agreed, any offtake agreements would need to be on commercial terms acceptable to Lynas, having regard to Lynas’ important strategic position in the global rare earths supply chain.
