I make an example for you. Let say seller has first mortgage 500k at bank A, second mortgage 150k in Bank B, and buyer offers 400k. After negotiation, bank A agrees to take 390k and 10k for Bank B. Bank B wants minimum 50k. There is a difference of 40k. In order to make a deal, both seller and buyer need put 20k each (or other ratio) for Bank B, out of the sale contract, to make the whole deal work. If buyer increase the offer to 420k, bank A will say: The property can sale more, then I take 410k, leave 10k for Bank B. It will really hard to make it work unless buyer offer more than the 1st mortgage, in this case it is 500k.
