two questions regarding H1B

Thanks for your opinions in advance.

1) If I transfer from a for-profit company to another for-profit company, is my transfer subject to the annual quota? In other word, can I submit the transfer right now even the quota for 2005 already used up? I have been thinking the answer is yes, but the assitant of my lawyer said no.

2) How can I find out if my current employer is for-profit or not-for-profit? is there any official source the the CIS refering to?

Got a job offer but can not go because the CIS did not release the guideline for the 20k quota. Very frustrating. Any opinion on the above questions will be greatly appreciated.
