PERM questions. Please help!

Please help!

worked for company A, then company A was sold to company B. My questions are:

1. For employee with company A before, are company A and company B counted as different employer in the PERM application?

2. Company B will file the PERM application. Can the work experience gained in company A be used in the PERM application?
