reasons for I-485 denial

Hi folks,
as far as I understand, for concurrently file I-140 and I-485, if I-140 is denied, then I-485 will be denied.
but if I-140 is approved, any reasons that I-485 could be denied? Assuming you are not in jail in indicted before I-485 approval.

Any comments?
