ask him why he wants to be a partner with you in this business.

maybe then you can find out a way to structure it so that he gets the benefit he wants, and you two are still separate business.

ask him if he is willing to come into US and take a stand if your joint venture gets sued. make him sign a separate contract on that. let him know the responsibilities he must take, he might think twice.
