Here are a few questions for you to ponder:
1). How will your boss help you in this new company if you two were to register one?
2). Find a business lawyer (better through referral if you have not done business in the US before) that you can trust. Typically, lawyers here in the US are quite dependable especially with large reputable firms.
3). Always remember that it takes money to make money. You should plan out the next steps particularly in terms of funding needs.
4). Test your boss. For example, ask him to fund the starting capital (say $50K) for his 30% shares.
5). It sounds like that you have been taken advantages before. But, you have to be able to find somebody that you can trust. Rely on the legal system here to protect you. US is a very good place for this.
6). Reduce your stress level and enjoy the process. Otherwise, I guarantee that you will not be happy even when you eventually get millions.
