Thank u all. So far no luck.

I tried kill.exe; taskmanager; removal tool under safe mode; even tried to kill it in the startup and kill it using command prompt. None of the above worked. It's a tough one. The only place I can find and delete is the "regedit". But it restore itself right away. Very annoying.
