The HR extended me an offer this morning. When we spoke, I brought up the following three items:
* less PTO days(paid time off) than what I have now. 10 days less.
* Loss of bonus for CY2010 from my current company. I have to be employed at the end of February 2011 in order to get CY2010 bonus from my current employer.
* I need to pay back the GC expense about $12,000

HR called me back with a revised offer this afternoon. Act very quickly.

Total increase (base + bonus): 18%
Some equity reward (stock option): eligible, but HR said that she couldn't release the benchmark number before I join the company.
Sign on bonus: $15,000 to compensate 10 days PTO ($5000) and partial CY2010 bonus loss ($10000)
No compensation for GC expense

If I change the job, there are the payouts for the next couple years:
First year: -$17,000 loss (before tax) for the following reasons:
* The base increase will cover the remaining loss of CY2010 bonus ($10,000) and the loss of ER 401K match ($5000) since the remaining sign on bonus will not
* -$20,000 for GC payback,implying $14000 AF Tax

Year 2 - 4:
Total compensation increase: 13%

I am planning to write an e-mail for a counter offer regarding the GC expense.

Per the contract with my current employer, I need to pay back about $15,000 (After Tax) related to my GC sponsorship if I leave the company within the next two years after my GC attainment. I would really appreciate xxx can help me out with this situation. offering me additional $10,000 sign on bonus or pay directly to my current employer if they ask me to pay back the GC expense.


Please advice the approach and how to say it.

I don't want my future manager has a bad impression about me. So I would like to run by you guys.
